1. Introduction
Welcome to Drops. Drops provides online tools that let sellers create auction pages, receive bids, communicate with buyers, and manage purchases, shipping, payouts, and related activity.
By accessing or using Drops, creating an account, listing an item, placing a bid, completing a purchase, or using any part of the service, you agree to these Terms of Service and the policies referenced in them, including our Privacy Policy, Seller Policy, Buyer Protection Policy, and Community Guidelines.
If you do not agree to these Terms, you may not use Drops.
2. Who may use Drops
You must be at least 18 years old, or the age of legal majority in your place of residence, to create an account, place bids, sell items, or complete purchases on Drops.
You must provide accurate, current, and complete account information. You are responsible for maintaining the security of your account and for all activity that occurs under your account.
We may restrict, suspend, or terminate accounts that provide false information, violate these Terms, create risk for other users, or use Drops in a way that may be unlawful or harmful.
3. Drops is a marketplace platform
Drops provides a platform that connects sellers and buyers. Drops does not own, inspect, manufacture, store, or sell the items listed by sellers unless explicitly stated otherwise.
When a buyer wins an auction or completes a purchase, the contract for the item is directly between the buyer and the seller. The seller is responsible for the item, the listing, the accuracy of the description, legal compliance, packaging, shipping, and fulfillment.
Drops may provide tools, payment support, communication tools, checkout flows, dispute support, and account services, but these services do not make Drops the seller of the item.
4. Auctions and bids
Sellers may create auction pages and set auction details, including title, description, images, category, starting price, bid increment, shipping fee, duration, and other auction rules.
Bids are binding. When you place a bid, you agree that if you are the highest bidder when the auction ends, you are responsible for completing the purchase according to the auction terms.
Drops may remove bids, cancel auctions, pause listings, or restrict users if we believe there is fraud, manipulation, shill bidding, technical abuse, prohibited activity, payment risk, or a violation of our policies.
5. Seller responsibilities
Sellers are responsible for making sure that every item they list is lawful, authentic, accurately described, owned by the seller or legally authorized for sale, and eligible to be sold through Drops.
Sellers must package and ship sold items responsibly, provide accurate tracking when available, communicate professionally, and complete transactions in good faith.
Sellers may not list prohibited items or use misleading photos, fake descriptions, false scarcity, artificial bidding, or any tactic that creates an unfair or deceptive marketplace experience.
6. Buyer responsibilities
Buyers are responsible for reading the listing, reviewing photos and terms, placing bids carefully, paying for won auctions, keeping shipping information accurate, and communicating respectfully with sellers and Drops support.
If a buyer wins an auction and does not complete payment within the required time, the seller may cancel the purchase, offer the item to another bidder, relist the item, or take other available steps through Drops.
7. Payments
Drops may support more than one payment flow.
Offline payment may be available by default. In offline payment transactions, the buyer and seller arrange payment directly between themselves. Drops may help record the purchase status, but Drops does not control funds sent outside Drops.
Drops Checkout may also be available. When Drops Checkout is used, payments are processed by third-party payment providers. Drops may hold, delay, reverse, refund, or review payments or payouts when needed for fraud prevention, dispute handling, legal compliance, chargebacks, policy violations, or payment risk.
8. Payouts
Sellers may be required to provide payout information, identity information, tax information, bank information, or payment provider onboarding details before receiving payouts through Drops Checkout.
Payout timing may depend on payment provider rules, review periods, buyer confirmation, delivery status, disputes, chargebacks, risk review, and seller eligibility.
Drops may delay, hold, offset, or cancel payouts when needed to protect buyers, comply with law, investigate suspicious activity, or enforce our policies.
9. Shipping and delivery
Sellers are responsible for shipping items according to the listing terms and for providing accurate shipping information when available.
Buyers are responsible for providing a correct shipping address. Drops may allow buyers to save multiple shipping addresses and select a default address. A selected shipping address may be shared with the seller when needed to fulfill a purchase.
For offline payment transactions, shipping and delivery arrangements are primarily between buyer and seller. For Drops Checkout transactions, Drops may provide additional purchase status, issue reporting, or payout review tools.
10. Issues, disputes, and refunds
Users should first communicate in good faith through Drops when there is a problem with a purchase.
Drops may provide support tools that allow buyers to report an issue and sellers to respond. Drops may review available evidence, including listing details, messages, payment status, tracking, delivery confirmation, and user history.
Drops may decide to hold payout, request more information, recommend a resolution, refund a buyer, release funds to a seller, restrict an account, or take other action when appropriate. Drops does not guarantee that every dispute will be resolved in a user's favor.
11. Fees
Drops may charge platform fees, seller fees, buyer fees, payment processing fees, payout fees, or other fees. Applicable fees will be disclosed in the product flow, seller dashboard, checkout, or related settings before they are charged or deducted.
Payment processing fees may be deducted by third-party payment providers. Sellers are responsible for understanding the fees that apply to their use of Drops.
12. Prohibited activity
You may not use Drops to:
- violate any law or regulation;
- list or buy prohibited items;
- misrepresent an item, identity, payment, shipping status, or account information;
- manipulate auctions, place fake bids, bid on your own items, or encourage shill bidding;
- harass, threaten, abuse, defraud, spam, or mislead another user;
- scrape, reverse engineer, attack, interfere with, or overload the platform;
- avoid fees where fees apply;
- use another user's personal information for any purpose other than completing the relevant transaction;
- upload content that infringes intellectual property, privacy, publicity, or other rights.
13. User content
You retain ownership of content you upload to Drops, including listing photos, descriptions, profile information, logos, and messages.
By uploading content, you grant Drops a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, resize, distribute, and use that content as needed to operate, improve, market, and provide the service.
You represent that you have all rights needed to upload and use your content on Drops.
14. Intellectual property
Drops, including its design, software, brand, interface, text, graphics, logos, and platform features, is owned by or licensed to Drops. You may not copy, modify, distribute, sell, reverse engineer, or use Drops' intellectual property without permission.
15. Third-party services
Drops may use or connect to third-party services, including payment processors, authentication providers, hosting providers, email providers, analytics tools, and shipping or tracking services.
Your use of third-party services may be subject to their own terms and policies. Drops is not responsible for third-party services that it does not control.
16. Suspension and termination
We may suspend or terminate your access to Drops if we believe you violated these Terms, created legal or financial risk, harmed another user, listed prohibited items, engaged in fraud, abused the platform, or used Drops in a way that could damage the service.
You may stop using Drops at any time. Some obligations, including payment obligations, dispute obligations, fee obligations, and legal obligations, may continue after account closure.
17. Disclaimers
Drops is provided on an "as is" and "as available" basis. We do not guarantee that the service will be uninterrupted, error-free, secure, or available at all times.
We do not guarantee the authenticity, legality, condition, quality, delivery, value, or description of items listed by sellers. Sellers are responsible for their listings and fulfillment.
18. Limitation of liability
To the fullest extent permitted by law, Drops will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages, or for losses arising from transactions between buyers and sellers, offline payments, shipping failures, inaccurate listings, user conduct, third-party services, or unauthorized account access.
19. Indemnification
You agree to defend and indemnify Drops from claims, losses, liabilities, damages, costs, and expenses arising from your use of Drops, your content, your listings, your purchases, your violation of these Terms, your violation of law, or your violation of another person's rights.
20. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles, except where local consumer protection laws require otherwise.
21. Changes to these Terms
We may update these Terms from time to time. If changes are material, we may notify you by email, through the service, or by posting an updated version. Your continued use of Drops after changes become effective means you accept the updated Terms.
